Terms of Service

These Terms of Service (“Terms”) govern your use of buildwithcdi.com (the “Site”) and the services provided by Create Design Innovate (“CDI,” “we,” “us,” or “our”), based in Houston, Texas. By using the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site.
1. Our services
CDI provides website design and development, advertising campaign management, business automation, and reputation and review services. The specific scope, deliverables, and timeline for any engagement are defined in a separate proposal or agreement between you and CDI. In the event of a conflict, that signed proposal or agreement controls over these Terms.
2. Quotes, fees, and payment
Pricing is custom-quoted per project based on scope. Fees, payment schedule, and any recurring charges will be set out in your proposal. For advertising services, your ad budget (the amount paid directly to platforms such as Google and Meta) is separate from our management fees and remains your responsibility. Unless stated otherwise, fees are non-refundable once work has begun.
3. Client responsibilities
- Provide accurate information and any content, materials, or access we need to perform the work;
- Review deliverables and provide timely feedback and approvals;
- Ensure you own or are licensed to use any materials you provide to us;
- Comply with the policies of third-party platforms used in your project.
4. Intellectual property
Upon full payment for a project, ownership of the final deliverables we create specifically for you transfers to you. CDI retains ownership of its own pre-existing tools, methods, and templates, and of any deliverables until payment is complete. Unless you request otherwise in writing, CDI may display completed work in its portfolio and marketing. Third-party assets (such as fonts, images, or plugins) remain subject to their own licenses.
5. Third-party services
Our services rely on third-party platforms, including GoHighLevel, Make.com, Notion, Cloudflare, Google, and Meta. Your use of those platforms may be subject to their own terms, and we are not responsible for their availability, changes, or actions.
6. Advertising results
Any performance figures shown on the Site reflect past results for specific campaigns and are not a promise of future results. Advertising outcomes depend on many factors outside our control, including your industry, budget, offer, market, and platform policies. We do not guarantee specific rankings, leads, sales, conversions, or return on ad spend.
7. Disclaimer of warranties
The Site and our services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
8. Limitation of liability
To the fullest extent permitted by law, CDI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Site or our services will not exceed the amount you paid to us for the services giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless CDI from any claims, losses, or expenses arising out of your use of the Site, your breach of these Terms, or your violation of any law or the rights of a third party.
10. Termination
Either party may end an engagement as described in the applicable proposal or agreement. We may suspend or restrict access to the Site at any time if we reasonably believe these Terms have been violated. Fees for work completed up to the date of termination remain payable.
11. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Harris County, Texas.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
